MSME Udyam Registration: Limits, Benefits and How to Register

The revised MSME classification thresholds, what Udyam registration gets you, the automatic reclassification nobody expects, and the step-by-step process. It is free.

The classification

MSME classification changed with effect from 1 April 2025, following the Union Budget 2025-26, which raised investment limits by 2.5 times and turnover limits by 2 times.

The current thresholds:

Two rules on how this is applied:

Both conditions must be satisfied. You must be within both the investment and the turnover limit for a category.

Where they point to different categories, the higher applies. A business with micro-level investment but small-level turnover is classified as Small.

This is a composite test, and the higher-classification rule catches people who assume the more favourable condition governs.

Automatic reclassification

Worth knowing, because it surprises people.

Your Udyam classification is re-verified automatically each financial year based on the income tax and GST data you file. Cross a threshold and you are reclassified upward automatically. Fall below and you are reclassified downward automatically.

You do not apply for this and you cannot easily prevent it. The practical consequence is that benefits tied to Micro or Small status can lapse without any action on your part, so if you are relying on a category-specific benefit, know where you are against the threshold.

What registration gets you

Credit access. MSME status brings priority sector lending treatment, and access to collateral-free credit under guarantee schemes. For an early business without assets to pledge, this is frequently the most substantial benefit.

Delayed payment protection. Statutory provisions require buyers to pay MSME suppliers within a defined period, with interest on delay, and provide a dispute resolution route. Enforcement is imperfect in practice, but having the registration is what gives you standing to invoke it - and referencing it in a payment dispute has practical effect.

Reduced IPR fees. This one has a directly quantifiable value. Trademark filing under Form TM-A costs ₹4,500 per class for individuals, DPIIT-recognised startups and MSMEs filing electronically, against ₹9,000 per class for companies and LLPs that do not qualify. Across four classes that is a saving of ₹18,000 on government fees alone. You must hold a valid Udyam certificate at the time of filing and upload it with the application for the lower rate to apply.

Public procurement preference. Government tenders reserve a share of procurement for MSMEs, and MSME suppliers get exemptions from certain prior turnover and experience requirements. Access to the Government e-Marketplace.

Subsidies and concessions. Various central and state schemes - technology upgradation support, ISO certification reimbursement, electricity concessions in some states, participation support for trade fairs. These vary considerably by state, so check your state's MSME department.

Scheme eligibility. Many state and central schemes require Udyam registration as a precondition.

Registering

Where: the official Udyam portal only. Registration is free, entirely online, and the certificate has lifetime validity with no renewal requirement.

There is a substantial industry of intermediary websites charging fees for this. Some provide a genuine service in filling the form; none of them are charging a government fee, because there is not one.

What you need:

  • Aadhaar number of the proprietor, managing partner, or authorised signatory - this is the primary requirement
  • PAN of the entity
  • GSTIN, where the entity is required to be registered under GST
  • Bank account details
  • Business activity details and NIC codes
  • Investment and turnover figures

The process:

  1. Go to the official portal and select the appropriate registration type - new registration, or migration from the older Udyog Aadhaar
  2. Enter the Aadhaar number and verify by OTP
  3. Enter PAN details, which are validated against the tax database
  4. Enter entity details - name, type, address, commencement date
  5. Enter bank details
  6. Select business activity and the applicable NIC codes
  7. Enter employment, investment and turnover figures
  8. Submit, and verify by OTP

Investment and turnover figures are validated against your ITR and GST filings, so they need to match what you have actually filed.

The certificate is issued with a permanent Udyam Registration Number and is downloadable from the portal.

Practical points

One registration per enterprise. You do not register separately per activity or location - a single Udyam registration covers the enterprise, with multiple activities listed within it.

Keep your filings current. Because classification is auto-verified against ITR and GST data, gaps or errors in those filings affect your Udyam status. This is a reason to keep filings clean beyond the obvious ones.

Update material changes. Address, activity and bank detail changes should be reflected on the portal.

Migrate from Udyog Aadhaar. If you hold an older Udyog Aadhaar Memorandum, it needs migrating to Udyam. The older registration is not indefinitely valid.

Udyam and DPIIT recognition are different things. They serve different purposes and unlock different benefits, and holding one does not give you the other. Many startups should have both - Udyam for MSME credit and procurement benefits, DPIIT for the startup-specific schemes. Note that for the reduced trademark fee, either a Udyam certificate or DPIIT recognition qualifies you.

Traders were brought within scope. Retail and wholesale trade were included for Udyam registration, primarily for priority sector lending purposes, having previously been excluded. Which benefits extend to traders differs from manufacturing and services, so check what applies to your activity.

Is it worth doing?

Yes, essentially without qualification. It is free, takes well under an hour, has lifetime validity, and unlocks a set of benefits - particularly on credit access and IPR fees - that have real monetary value.

The main reason businesses do not have it is simply that nobody told them to.
